TIO — Terms of Service

1. These Terms

These Terms of Service are a binding agreement between you and VisionData Corp, LLC, a limited liability company organized under the laws of the State of California ("TIO," "we," "us"). They cover the TIO application at app.usetio.com, the usetio.com site, the API at api.usetio.com, and every related feature.

You accept these Terms when you tick the box at sign-up and whenever you accept a new version. We record which version you accepted and when. If we revise these Terms materially, you will be asked to accept the new version before you can continue using your projects; your earlier acceptances are preserved rather than overwritten.

2. Private testing

TIO is currently available by approval only, through a waiting list. During this period:

• Features may change, break, or be withdrawn without notice, and stages of the pipeline may be incomplete.
• Generation may be paused briefly while we deploy updates. Work in progress is held rather than lost, but a held submit will not start until the deploy finishes.
• We may reset, migrate, or delete test project data, and we will tell you before we do.
• Nothing in this section is a service level. There is no uptime commitment during testing.

Keep your own copies of any script, footage, or output you cannot afford to lose. TIO is not a backup service.

3. Eligibility

You must be 18 or older, or the age of majority where you live if that is higher.

You must not be located in, resident in, or acting for anyone in a country or region under comprehensive US, EU, or UK sanctions, and you must not appear on a restricted-party list. You are responsible for export-control and sanctions compliance in connection with your use of TIO.

If we have terminated your account for a violation of these Terms, you may not open another.

4. Your account

Accounts are created and authenticated through Clerk. You agree to give accurate information, to keep your credentials secure, and to tell us promptly at contact@visiondata.com if you think someone else has accessed your account. You are responsible for activity under your account.

Do not share credentials.

5. What TIO does

TIO takes a film from source material to a finished cut. Depending on the features you use, it will:

1. Project setup — hold your project details and settings.
2. Transcription — transcribe audio or video you upload.
3. Style analysis — derive a visual approach from reference images you supply.
4. Shotlist — generate a shot-by-shot breakdown from your transcript or script, with cinematography and frame attributes.
5. Element images — generate reference imagery for the elements in your shotlist.
6. Characters and sets — generate and manage character designs (including wardrobe, emotions, and poses) and set designs (including views and times of day), each with variants and reference images you can supply.
7. Shot images — generate a still for each shot.
8. Videos — generate a clip for each shot, optionally replacing the dialogue with a character voice.
9. Merge and export — assemble the clips into a final cut and package it for delivery.

You can also share a finished cut through a private watch link, and export a project archive.

We may add, change, or remove features and models. Models are retired and substituted regularly, sometimes at short notice, because they are third-party services outside our control.

TIO produces drafts. Transcripts, shotlists, images, clips, and cuts are creative material for you to review, correct, and direct. They are not professional advice and are not guaranteed to be fit for delivery without your review.

6. Your Content

"Your Content" is everything you supply: scripts, treatments, audio and video, photographs and reference images, character and set descriptions, prompts, edits, project settings, and anything else you upload or type.

You own it. Nothing here transfers ownership. You keep all rights in your script and your source material.

The licence you give us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, and process Your Content, and to transmit the necessary parts of it to the AI providers in Section 7, solely to run the pipeline you asked for and to support and secure your account. The licence exists so the software can work. It ends when you delete the content or your account, subject to Section 20.

What we do not do with it. We do not sell Your Content. We do not use it to train AI models. We do not publish it, use it in marketing, or show it to other users, and we take no promotional or portfolio licence in it. If we ever want to feature your work, we will ask.

Your responsibility. You represent that you have every right, licence, and consent needed to supply Your Content and to let us process it as described. In particular: if the script is not yours, you have the right to use it; if a photograph or recording shows a real person, you have that person's permission; and if the material is under an NDA that bars cloud processing, you have confirmed this use is permitted.

Monitoring. We do not pre-screen Your Content and have no duty to review it. We may use automated tooling and manual review to detect and act on material that breaches Section 13 or the law, and may remove content or suspend access under Section 20.

7. AI providers

TIO trains no models of its own. Every generation is performed by a third-party provider we send the relevant material to. As of the date of this version, those providers are:

Provider rules apply to you. Each provider enforces its own content policy. A prompt acceptable under Section 13 may still be refused, and the refusal message you see may come from the provider rather than from us. A refusal is not a fault in TIO; the fix is to change the prompt and try again.

Refusals and failures cost credits. A generation that reaches a provider and is refused, or that fails after the provider has been paid, consumes the credits it spent. We refund automatically in the specific case described in Section 14.

Availability depends on them. Provider outages, rate limits, price changes, and model retirements affect what TIO can offer. We route around failures where we can and fail over between providers, but we cannot guarantee a particular model will be available.

We are not responsible for their services. We are responsible for what we do with Your Content. We are not liable for a provider's own acts or failures beyond our reasonable control.

Your own API keys. If you supply your own provider keys, generations run against your account with that provider and are billed by them to you, subject to their terms. We store your keys encrypted and use them only to run generations you request.

8. Outputs

"Outputs" means the transcripts, style analyses, shotlists, character, set and element imagery, shot images, video clips, converted dialogue, merged cuts, and export packages TIO generates.

Ownership. As between you and TIO, and to the extent we hold any rights in Outputs, we assign them to you on generation. You may use Outputs for any lawful purpose, including commercial film, television, advertising, and client work.

What we cannot promise.

• Outputs are not unique. A similar instruction from another user can produce similar material, and we cannot grant exclusivity.
• Outputs may be wrong. Transcripts mis-hear dialogue and misattribute speakers. Shotlists misread intent. Generated imagery contains anatomical errors and continuity breaks between shots. Voice conversion may not match a character across every line.
• We do not warrant that an Output is free of third-party rights. A model can produce material resembling an existing work, a real person, a trademark, or a protected design. Clearing an Output for use in a production is your responsibility.
• We make no representation that an Output is copyrightable. Material generated without sufficient human authorship may not be protectable in some jurisdictions.

Disclosure. Where a law, a guild or union agreement, a broadcaster, a platform, or a client requires you to disclose that material is AI-generated, that is your obligation. This matters particularly for the export targets TIO packages for — YouTube, TikTok, Instagram, X, LinkedIn, and Facebook all operate synthetic-media disclosure rules, and they change.

9. Characters, likeness, and voice

This section applies whenever you upload a reference image, create a character, or use the voice features.

Reference images. You may upload photographs as references for characters, sets, wardrobe, and style. You must have the right to use every image you upload, and where an image shows an identifiable person you must have that person's permission for it to be uploaded and for imagery to be generated from it.

Generated characters. You must not generate a character that depicts an identifiable real person without their permission. Resemblance that occurs by chance is not a breach; instructing the system toward a real person is.

Voice. TIO can create a voice profile for a character and use it to replace dialogue in your clips. A voice profile is built from audio samples and is held with our voice provider under an identifier we store against your account.

By creating a voice profile you confirm that:

• you have the right to use every audio sample the profile is built from; and
• where a sample contains the voice of a real, identifiable person, you have that person's express, informed, documented consent to clone their voice and to generate speech in it — including consent from a performer whose contract or union agreement governs synthetic voice use.

Deletion. Deleting a voice profile removes it from your account and instructs the provider to delete the cloned voice.

10. Prohibited generations

Beyond Section 13, you must not use TIO to produce:

• Any sexual depiction of a minor, or any material that sexualizes a minor. We report suspected child sexual abuse material as the law requires and cooperate with law enforcement.
• Intimate or sexual imagery of any identifiable person without their consent.
• A synthetic depiction of a real person made to deceive — a fabricated statement, endorsement, or performance.
• Material presented as an authentic recording of a real event.

11. Sharing a cut

You can create a watch link that lets anyone holding the link view your finished cut without signing in. If you create one:

• The link is the only protection on it. Treat it like a password: anyone you send it to can forward it.
• You can revoke a link at any time. Revocation stops further streaming within seconds, but it cannot recall what a viewer has already watched or downloaded.
• We count how many times a link is used to start playback, and show you the number.
• You are responsible for what you share and for having the rights to share it.

Creating a watch link does not give us any additional rights in your film. We do not index shared cuts, list them anywhere, or make them discoverable.

12. Project archives

You can export a project as an archive and import an archive into your account.

Provisional term, pending that: if you import an archive, you represent that you have the right to the material in it. If you export and share an archive, you are responsible for what you disclose.

13. Acceptable use

You must not use TIO, Your Content, or any Output to do or facilitate any of the following.

Harm to people.

• Sexualize, exploit, or endanger a child (see also Section 10).
• Depict, promote, or facilitate sexual violence, trafficking, or exploitation.
• Promote or instruct in self-harm or suicide.
• Promote, recruit for, or support terrorism or violent extremism.
• Threaten, harass, bully, stalk, or incite violence against anyone.
• Produce hate speech or material dehumanizing people on the basis of a protected characteristic.
• Produce gratuitous gore, torture, or animal cruelty.

Harm through likeness and deception. As set out in Sections 9 and 10, plus: no content designed to deceive about an election, a public health matter, or public safety.

Harm to rights.

• Infringe anyone's copyright, trademark, design right, moral right, right of publicity, or privacy right — including by uploading a script, recording, or image you do not have the right to use.
• Direct the system to reproduce a specific existing film, series, character, or artwork closely enough to substitute for the original, or to replicate a named performer's likeness or voice where doing so would infringe their rights.

• Upload another person's sensitive personal information, biometric data, health information, or financial information.

Harm to the service.

• Reverse engineer or attempt to derive the source, prompts, model weights, or architecture behind TIO.
• Circumvent rate limits, credit accounting, storage caps, content filters, or safety guardrails, whether ours or a provider's.
• Scrape or systematically extract data from TIO, or access it by automated means outside a documented API.
• Resell, sublicense, or run TIO as a service bureau for third parties, or use it to build a competing product or train a competing model.
• Introduce malicious code, probe the security of the service without authorization, or interfere with its operation.
• Use TIO unlawfully.

Reporting. Report content or conduct that breaches this section to contact@visiondata.com.

If intimate imagery of you may be shared. Adults can use StopNCII.org to have participating platforms block a hashed copy. If the images were made when you were under 18, NCMEC's Take It Down service (takeitdown.ncmec.org) can help. You can also write to us at contact@visiondata.com.

Enforcement is at our discretion. Not acting once does not waive our right to act later.

14. Plans, credits, and payment

Payments are processed by Stripe. We do not receive or store your card details.

Plans and credits. TIO runs on prepaid credits. A subscription includes a monthly credit allowance; you can also buy credit packs, and you can turn on automatic top-up. Credits are consumed as generations run, priced from what the underlying provider charges plus our margin.

When a generation fails. If a generation fails because of an error on our side, we restore the credits. If every video provider we can reach runs out of credit while your clip is rendering, that is our billing problem and not your prompt — we return the credits automatically and tell you we have. Where credits cannot be returned automatically, contact us.

Price changes. We will give at least 30 days' notice before a subscription price increase takes effect, and never mid-term.

Storage. Your plan includes a storage allowance. When you reach it, uploads and new generations are blocked until you free space or increase your allowance. We do not delete your files for being over the cap.

Cancellation. Cancel from your account settings. Cancellation stops renewal at the end of the current period. It does not delete your account or your projects.

Consumers in the EEA and UK. You have a statutory 14-day right to withdraw from a purchase of digital content, which is lost once supply begins with your express consent and your acknowledgement that you thereby lose it — in practice, when you first spend credits. Nothing in this section limits a statutory right you cannot waive.

15. Support access to your projects

To investigate a problem you report, a member of our team may need to open your project and see what you see.

• Access is granted per report, is tied to that report, and ends when the report is closed or you revoke it.
• Every access is logged: who looked, at which project, under which report, and when.
• You can revoke a grant at any time.

16. The in-app assistant

TIO includes an assistant that can answer questions about the product, read your project to help you, and file reports on your behalf. It runs on a third-party model provider.

• What you type to the assistant, and the project context it reads to answer, are sent to that provider.
• Your conversations are stored so the assistant has continuity.
• The assistant can make changes to your project only where you confirm them.
• If you ask it to file a bug or feature report, that report — including what you wrote and any screenshots you attach — is filed in our issue tracker.
• There are daily limits on messages and on reports filed.

17. Feedback

If you send us ideas, suggestions, or feature requests, we may use them without restriction or compensation, and we own any improvement that results. We treat feedback as non-confidential unless you mark it otherwise before sending. This gives us no rights in Your Content.

18. Our intellectual property

TIO — its software, interfaces, pipeline design, prompt engineering, model routing, templates, documentation, name, and logo — belongs to us and our licensors. You get a limited, revocable, non-exclusive, non-transferable right to use it under these Terms, and nothing more. All other rights are reserved.

You may not use our name or branding without written permission, except to state accurately that you used TIO on a production.

19. Confidentiality of your project material

We treat Your Content as confidential. We disclose it only: to the providers and service providers named here and in the Privacy Policy, each under contractual confidentiality obligations; to our own personnel under Section 15 or to investigate a suspected breach of Section 13; where you direct us to; and where the law requires, in which case we will tell you unless we are prohibited from doing so.

20. Suspension, termination, and deletion

By you. You can stop using TIO at any time and delete individual projects from your dashboard.

By us. We may suspend or limit access if we reasonably believe you have breached Section 13, if your use threatens the security or availability of the service, if a provider or the law requires it, or if fees are more than 30 days overdue. Where practical we will tell you first and give you a chance to put it right; where the risk is serious we may act first and explain after.

We may terminate for a material breach you do not cure within 30 days of notice, immediately for a breach of Section 13, or on 30 days' notice if we discontinue TIO.

What happens to your material. Deleting a project removes its database rows and marks its files for removal; files no longer referenced by any project are removed by an automated sweep that must observe an object as unreferenced on more than one occasion before deleting it, so deletion is not instantaneous.

Sections 6 (ownership), 8, 17, 18, 19, 21, 22, 24, and 25 survive termination.

21. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, TIO AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY OUTPUT WILL BE ACCURATE, ORIGINAL, NON-INFRINGING, CONSISTENT BETWEEN SHOTS, OR SUITABLE FOR YOUR PRODUCTION. YOUR USE OF TIO AND YOUR RELIANCE ON ANY OUTPUT IS AT YOUR OWN RISK.

Some jurisdictions do not allow these exclusions, so parts of this section may not apply to you. Nothing here excludes a warranty or statutory right that cannot be excluded.

22. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST FOOTAGE, PRODUCTION DELAY, OR RESHOOT COSTS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF US$100 OR WHAT YOU PAID US IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits do not apply to death or personal injury caused by negligence, fraud, gross negligence, willful misconduct, or any liability that cannot be limited by law. If you are a consumer, nothing here affects your non-waivable statutory rights.

23. Indemnity

You will defend and indemnify TIO and its officers, directors, employees, and agents against any third-party claim, and resulting loss, liability, damage, or reasonable expense including legal fees, arising out of (a) Your Content, including any claim that it infringes a third party's rights or was uploaded without consent; (b) your use of an Output, including how you deployed it in a production or published it; (c) any claim relating to a voice profile you created or a likeness you generated, including claims under biometric privacy, right-of-publicity, or performer-consent rules; (d) your breach of these Terms; or (e) your violation of law.

We will notify you of any such claim. You will not settle it in a way that imposes an obligation or admission on us without our consent.

24. Disputes

Talk to us first. Before any formal proceeding, send a written description of the dispute and the relief you want to contact@visiondata.com; we will do the same. Both sides will try in good faith for 30 days. This step is required and the limitation period is paused while it runs.

Arbitration.

25. Governing law

These Terms are governed by the laws of the State of California without regard to conflict-of-laws rules. Subject to Section 24, the courts of Los Angeles County, California have exclusive jurisdiction.

If you are a consumer, this does not deprive you of mandatory consumer protections where you live, or of any right to bring proceedings locally.

26. General

Entire agreement. These Terms, the Privacy Policy, and any feature-specific terms we present are the whole agreement about TIO.

Severability. An unenforceable provision is modified to the minimum extent necessary or severed; the rest stands.

No waiver. Not enforcing a right once does not waive it.

Assignment. You may not assign these Terms without our consent. We may assign to an affiliate or in a merger, financing, or sale of substantially all assets.

No third-party beneficiaries.

Notices. We may notify you by email to your account address or in the product. Notify us at contact@visiondata.com or 5700 Wilshire Blvd., Suite 650, Los Angeles, CA 90036.

Interpretation. "Including" means "including without limitation." Headings are convenience only.
